Terms of Service

These Terms of Service govern your access to and use of VersionPilot's website and services. By accessing our site or joining our waitlist, you agree to these terms. Please read them carefully.
1. Acceptance of Terms
By accessing versionpilot.lovable.app, versionpilot.ai, or any VersionPilot service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.

2. Description of Service
VersionPilot is a software-as-a-service platform that automates framework and dependency upgrades for software development projects. The Service includes:
- A pre-launch waitlist and early access program
- A website at versionpilot.lovable.app and versionpilot.ai providing information about the product
- Future product features including but not limited to: automated codemod execution, GitHub repository integration, sandbox test validation, Pull Request generation, and project health monitoring
The Service is currently in pre-launch. Features described on our website represent our intended product roadmap and are not yet available. Joining the waitlist does not guarantee access to any specific feature or timeline.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract in your jurisdiction
- Not be prohibited from using the Service under applicable law
- If acting on behalf of an organization, have authority to bind that organization
The Service is intended for professional use by software developers, engineering teams, technology companies, and digital agencies.
4. Waitlist and Early Access
By joining the VersionPilot waitlist, you:
- Provide accurate and complete information in the waitlist form
- Consent to receive email communications from VersionPilot regarding product updates, launch announcements, and early access invitations
- Understand that joining the waitlist does not create a contractual obligation for VersionPilot to provide any service or launch by any specific date
- Acknowledge that waitlist position and early access are offered at VersionPilot's sole discretion
Founding member pricing and early access benefits communicated on our website are offered in good faith but are subject to change prior to product launch. We will notify waitlist members of any material changes to these commitments.
5. Intellectual Property
5.1 VersionPilot's Intellectual Property
All content on the Service — including but not limited to text, graphics, logos, the VersionPilot name and brand, website design, product concepts, codemod libraries, algorithms, and software — is the exclusive property of VersionPilot Inc. and is protected by applicable intellectual property laws in Canada and internationally.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Service without our prior written consent.
5.2 Your Content
When the product launches and you connect a GitHub repository, you retain full ownership of your source code and all intellectual property contained within it. You grant VersionPilot a limited, temporary, revocable license to access and process your repository solely for the purpose of executing the migration or analysis you have requested.
This license terminates immediately upon completion or cancellation of the relevant job. VersionPilot claims no ownership over any code, content, or intellectual property contained in connected repositories.
5.3 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant VersionPilot a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Submit false, misleading, or fraudulent information in the waitlist form
- Attempt to gain unauthorized access to any part of the Service or its systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to process repositories you do not have authorization to access
- Introduce malware, viruses, or malicious code through the Service
- Use the Service in any way that could damage, disable, or impair its operation
- Scrape, crawl, or systematically extract data from the Service without permission
- Attempt to circumvent any security or access control measures
VersionPilot reserves the right to suspend or terminate access for any user who violates these terms.
7. GitHub Integration and Repository Access (Future Product)
When the VersionPilot product launches, the following terms will apply to GitHub repository integration:
7.1 Authorization
You must have the legal right and necessary permissions to connect any repository to VersionPilot. By connecting a repository, you represent that you are authorized to grant VersionPilot access to it.
7.2 Scope of Access
VersionPilot will request only the minimum GitHub permissions necessary to perform the requested service. The specific permissions required will be disclosed clearly at the time of installation.
7.3 Code Handling
Your source code is processed exclusively in ephemeral, isolated containers. No source code is stored permanently on VersionPilot servers. All processing environments are destroyed immediately upon job completion or failure.
7.4 Pull Requests
Any Pull Request generated by VersionPilot is created on your behalf in your repository. You are solely responsible for reviewing, testing, and deciding whether to merge any automated Pull Request. VersionPilot does not guarantee that any generated PR is complete, correct, or free of errors.
7.5 Your Responsibility
You are solely responsible for testing all changes suggested by VersionPilot before merging them into production branches. VersionPilot strongly recommends reviewing all generated PRs in a staging environment prior to production deployment.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERSIONPILOT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT OR OUTPUT
- WARRANTIES THAT GENERATED PULL REQUESTS WILL BE CORRECT, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE
You acknowledge that software migration is inherently complex and that automated tools may produce incomplete or incorrect results. You are solely responsible for validating all outputs before use in production environments.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERSIONPILOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGE TO YOUR CODEBASE, PRODUCTION ENVIRONMENT, OR SYSTEMS
- COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
- ANY DAMAGES ARISING FROM YOUR RELIANCE ON AUTOMATED MIGRATION OUTPUT
IN NO EVENT SHALL VERSIONPILOT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VERSIONPILOT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless VersionPilot and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content or code you submit to or process through the Service
- Your infringement of any third-party intellectual property rights
11. Privacy
Your use of the Service is subject to our Privacy Policy, available at /privacy-policy, which is incorporated into these Terms by reference.
By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
12. Modifications to the Service
VersionPilot reserves the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Change pricing, features, or availability with reasonable notice to affected users
- Update these Terms at any time
When we make material changes to these Terms, we will update the "Last updated" date and notify waitlist members by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may request removal from the waitlist by emailing legal@versionpilot.ai.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Quebec, Canada.
Before initiating any formal legal proceeding, you agree to first contact us at legal@versionpilot.ai and attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.
14. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
VersionPilot's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and VersionPilot regarding the Service and supersede all prior agreements, representations, and understandings between the parties relating to the subject matter herein.
